This site (the "Site") is owned and operated by W Network Inc. and Country Music Television Ltd. (referred to as "we," "us" or "our" herein) for your personal entertainment, information. We welcome you to participate in the virtual photograph feature of our Site, but want you to know that your access to, and use of, the Site is subject to the following terms and conditions ("Terms and Conditions") and all applicable laws. By accessing and uploading your photographs on the Site, you accept, without limitation or qualification, the Terms and Conditions. You are solely responsible for any and all content you upload, including but not limited to photos, profiles, messages and other content that you upload, publish or display (hereinafter, "Post") on or through the Site, or transmit to or share with other users (collectively the "User Content"). IF YOU ARE USING THE SITE WITHIN A COMPANY, YOU REPRESENT AND WARRANT THAT YOU ARE AUTHORIZED TO ENTER INTO THIS AGREEMENT ON BEHALF OF THE COMPANY AND YOU ACKNOWLEDGE THAT THE RIGHTS TO USE THE SITE WHICH ARE GRANTED TO YOU AND THE COMPANY UNDER THIS AGREEMENT ARE EXPRESSLY CONDITIONED UPON ACCEPTANCE BY SUCH AUTHORIZED PERSONNEL OF THE COMPANY. We will have the right at any time to modify or add to these Terms and Conditions, effective immediately upon notice thereof, which may be given by any means, including but not limited to posting on the Site a revised version of these Terms and Conditions. If any such change is unacceptable to you, you may discontinue your use of the Site. You agree to periodically review the Terms and Conditions to be aware of such revisions. Your use of the Site may also be subject to additional or different terms or conditions imposed by third party content providers in connection with third party content, products or services accessible through the Site.

MODIFICATION OF USER CONTENT

You understand and agree that we may, but are not obligated to, review the Site and may delete or remove (without notice) any User Content in its sole discretion, for any reason whatsoever, including, but not limited to User Content that we deem, in our sole discretion, as offensive, illegal, or that might violate the rights, harm, or threaten the safety of users or others User. Our removal of User Content is final.

Your account is limited to a maximum of 25 megabytes. Any and all uploaded User Content that exceeds 25 megabytes shall be reduced by us accordingly, in our sole discretion

RESPONSIBILITY FOR USER CONTENT

You represent and warrant that you have the right to distribute any and all User Content and that any and all such User Content does not violate our Terms of Use. You may not Post, transmit, or share User Content on the Site that you did not create or that you do not have permission to Post. You are solely responsible at your sole cost and expense for creating backup copies and replacing any User Content you Post or store on the Site or provide to us.

USE OF CONTENT

When you Post User Content to the Site, you grant, authorize and direct us to make such copies thereof as we deem necessary in order to facilitate the Posting and storage of the User Content on the Site. By Posting User Content to any part of the Site, you automatically grant us, and you represent and warrant that you have the right to grant us, an irrevocable, perpetual, non-exclusive, transferable, fully paid, worldwide license (with the right to sublicense) to use, copy, publicly perform, publicly display, reformat, translate, excerpt (in whole or in part) and distribute such User Content for any purpose on or in connection with the Site or the promotion thereof, to prepare derivative works of, or incorporate into other works, such User Content, and to grant and authorize sublicenses of the foregoing.

REMOVAL OF CONTENT

You may remove your User Content from the Site at any time. If you choose to remove your User Content, the license granted above will automatically expire, however you acknowledge that the Company may retain archived copies of your User Content.

You represent, warrant and agree that any and all User Content shall not violate or infringe upon the rights of any third party, including copyright, trademark, privacy, publicity or other personal or proprietary rights; or contain libelous, defamatory or otherwise unlawful material. Any and all User Content that is or may violate or infringe upon the rights of any third party, including copyright, trademark, privacy, publicity or other personal or proprietary rights; or contain libelous, defamatory or otherwise unlawful material shall be removed from the Site immediately.

CODE OF CONDUCT

Users of this Site shall not upload, post, transmit, share, store or otherwise make available any content that:

  • we deem to be harmful, threatening, unlawful, defamatory, infringing, abusive, inflammatory, harassing, vulgar, obscene, fraudulent, invasive of privacy or publicity rights, hateful, or racially, ethnically or otherwise objectionable;
  • contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
  • results in harassment to or bullying of a third party;
  • would constitute, encourage or provide instructions for a criminal offense, violate the rights of any party, or that would otherwise create liability or violate any local, state, national or international law; and
  • is objectionable to us, in our sole discretion or which restricts or inhibits any other person from using or enjoying the Site, or which may expose us or our users to any harm or liability of any type.
